We are currently in search of a Director of Legal Affairs to spearhead our legal and contracts division, ensuring the highest standards of excellence in our operations.

Role Overview:

The Director of Legal Affairs will oversee all facets of the firm's legal operations, leading a dedicated team and ensuring compliance with applicable laws and regulations. This role involves the formulation and execution of strategies that align with the firm's operational goals and vision. The Director will participate in various leadership initiatives to guide the firm’s strategic direction and objectives.

Contract Oversight & Negotiation
  1. Directs the legal affairs department in all aspects of contract management, including drafting, reviewing, and modifying agreements.
  2. Researches and implements innovative contract management solutions, enhancing efficiency in contracting processes.
  3. Engages directly with clients and consultants during negotiation processes.
  4. Collaborates with external legal advisors and internal teams to evaluate the necessity for new agreements or amendments.
  5. Stays informed on legal developments to update contracts and templates, providing strategic recommendations.
Insurance Management & Risk Assessment
  1. Oversees the firm’s insurance renewal processes and serves as the primary contact for all insurance-related inquiries.
  2. Conducts comprehensive reviews of insurance policies to ensure adequate coverage and compliance with evolving business needs.
  3. Prepares detailed documentation for insurance renewals and maintains accurate records of all insurance-related documents.
  4. Coordinates with the finance department to ensure timely processing of premium payments.
Corporate Governance & Compliance
  1. Leads the development and enforcement of organizational policies in accordance with legal standards, providing guidance on compliance matters.
  2. Monitors the firm's state registrations and licensing obligations, keeping leadership updated on regulatory changes.
  3. Under the CEO's guidance, provides legal counsel to shareholders and assists in the review of corporate governance documents.
  4. Manages intellectual property matters, including patents and copyright registrations.
General Legal Advisory & Leadership
  1. Develops and ensures adherence to the firm’s legal policies, safeguarding its interests and maintaining operational integrity.
  2. Oversees litigation and dispute resolution processes.
  3. Provides actionable legal advice to leadership and staff across various operational levels.
  4. Identifies legal issues, drafts necessary documentation, and presents recommendations to ensure compliance.
  5. Manages the implementation of a Records Management program and oversees the legal budget.
Qualifications:
  1. Juris Doctor from an ABA-accredited institution and active membership in a state bar.
  2. 10+ years of experience in corporate legal roles, with a focus on contract management and compliance.
  3. Exceptional communication skills, both verbal and written, with the ability to engage effectively with diverse stakeholders.
  4. Experience in insurance renewals and a strong understanding of professional liability policies.
  5. Proven track record in negotiating contracts, with international experience being advantageous.
  6. Demonstrated leadership in managing a team to achieve departmental objectives.
  7. Proficient in Microsoft Outlook, Word, and Excel.
  8. Ability to handle complex legal matters independently while supervising external counsel.
  9. Strong customer service orientation, fostering positive relationships with internal and external clients.
  10. Skilled in managing multiple priorities in a fast-paced environment while maintaining confidentiality.
  11. Exhibits sound judgment in resolving conflicts during negotiations.
  12. Encourages a collaborative culture by sharing knowledge and enhancing team effectiveness.
