Senior Governance Paralegal

Milliman's Legal Department is seeking a highly skilled Senior Governance Paralegal to join their Governance team. As a key member of the team, you will work closely with the Assistant Corporate Secretary to ensure the effective governance of Milliman's entity portfolio.

Key Responsibilities:

  • Lead annual compliance requirements and related governance processes for entities in EMEA, South America, and APAC.
  • Draft and prepare entity governance documents, including consents, resolutions, minutes, POAs, intercompany agreements, organizational charts, and formation documents.
  • Assist with annual general meetings and board meetings, preparing notices, materials, and agendas as needed.
  • Review entity organizational documents and draft certificates certifying same.
  • Respond to regulatory inquiries, audits, and third-party requests for information.
  • Detect, resolve, and prevent compliance deficiencies and regulatory risks.
  • Evolving, maintaining, and updating compliance databases, including Minute book maintenance.
  • Timeline management and calendaring.
  • Attend meetings related to entities.
  • Participate in the implementation of an entity management system and ongoing management of the database.
  • Create electronic files, spreadsheets, checklists, and overall database management for various processes.
  • Correspond with vendors, local counsel, and other third parties in furtherance of entity compliance.
  • Act as liaison for internal stakeholders and coordinate information exchange to ensure timely completion of projects.
  • Assist with shareholder lifecycle processes, including working with the Principal Nominations Review Committee to review shareholder nomination memoranda.
  • Stay current on and monitor regulatory changes, new regulations, and educate management and the Governance and Finance teams on new legal requirements and corporate best practices.
  • Serve as a thought leader to improve and simplify processes, drive standardization and organization, and build scalable solutions.
  • Lead projects to further improve the performance of the Governance team and overall company.
  • Support audit requests and functions, including reporting summaries and tracking.
  • Systematic storage, tracking, and destruction of business documents and records according to our Data Privacy policies.
  • Limited expense report and billing tasks as related to the entities within purview.

Requirements:

  • Bachelor's degree
  • Minimum of 7 years previous experience with corporate governance or corporate law, either in-house environment or law firm experience.
  • Proficient in Microsoft Office / 360 suite, specifically Word, SharePoint, Excel, PowerPoint, and Adobe Pro.
  • Previous experience working with board of directors, senior management, and cross-functional teams with the ability to effectively communicate and manage governance requirements.
  • Excellent writing, proofreading, and editing skills.
  • Demonstrated ability to multi-task and be detail-oriented with strong organizational skills.
  • Demonstrated ability to handle confidential and sensitive information.
