Job Title: Senior Corporate Governance Paralegal

About the Role: We are seeking a highly skilled Senior Corporate Governance Paralegal to join our team at Rochester Regional Health. As a key member of our Legal Department, you will be responsible for performing a variety of duties, including drafting documents, revising corporate policies, and maintaining legal files.

Key Responsibilities:

  1. Process and triage incoming correspondence, exercising judgment on urgency, confidentiality, and importance.
  2. Maintain and file corporate records, coordinate and receive board and committee signatures for documents and materials.
  3. Provide support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions.
  4. Work with other members of the legal team on special projects and initiatives.
  5. Assist with the non-physician contract review process, including planning, collaboration, negotiation, and execution.
  6. Conduct legal research, draft and manage litigation holds, and coordinate Subpoena's served upon the Corporation.
  7. Obtain due diligence materials, maintain electronic/computer databases, paper files, and records, and retrieve information as necessary.
  8. Communicate directly with local, state, and federal elected officials regarding matters of interest to RRH and support RRH Board members.

Requirements:

  1. Associate Degree in Paralegal Studies or certification by an institution approved by the American Bar Association.
  2. Excellent communication and organization abilities.
  3. Strong research and report-generating skills.
  4. Ability to work independently and in a collaborative team environment.
  5. Strong analytical skills.
