Position Summary:

We are seeking a proactive and detail-oriented Corporate Paralegal to join our team and support our growing Startup and M&A practice groups. The ideal candidate will have experience as a corporate paralegal at a law firm, as well as a keen interest in working closely with entrepreneurs, investors, and corporate clients. This position plays a key role working as a team with our attorneys and directly with clients.


Key Responsibilities Include:

· Assist in the preparation and filing of corporate governance documents, such as formation documents, board and stockholder resolutions, annual reports.

· Handle basic stock and option plan administration, including drafting agreements, preparing reports, and maintaining capitalization records in equity management platforms (e.g., Carta)

· Assist with venture capital financing, debt financing, mergers, acquisitions, and other transactions.

· Coordinate and manage due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volumes.

· Maintain and organize corporate records, minute books, and other legal documents.

· Prepare and handle corporate and securities filings, including Forms D.

· Conduct legal research and analysis on corporate matters, including regulatory compliance.

· Prepare and file UCC financing statements and conduct lien searches.

· Communicate and collaborate effectively with clients, attorneys, and external parties involved in transactions.


Qualifications:


· Bachelor’s Degree and/or Paralegal Certificate

· 4+ years of corporate law firm experience

· Proficiency in Office suite, Carta, and DocuSign (or similar platforms)

· Excellent organizational skills with the ability to effectively manage multiple priorities and deadlines.

· Detail-oriented, proactive and adaptable with a strong work ethic.

· Effective communication skills, both written and verbal, with the ability to interact professionally with clients and team members.


Work Hours:

This is a non-exempt hybrid position and eligible for overtime compensation. Regular office hours are 8:00 a.m. – 5 p.m. Monday through Friday. The ability to work longer hours is essential during peak workload periods.
