Position Overview:
We are in search of a diligent and detail-focused Corporate Legal Assistant to join our team and bolster our expanding Startup and M&A practice groups. The ideal candidate will possess experience as a corporate paralegal within a law firm and exhibit a strong interest in collaborating closely with entrepreneurs, investors, and corporate clients. This role is pivotal in working alongside our attorneys and engaging directly with clients.
Key Responsibilities:
- Assist in the drafting and submission of corporate governance documents, including formation documents, board and shareholder resolutions, and annual reports.
- Manage basic stock and option plan administration, which includes drafting agreements, generating reports, and maintaining capitalization records in equity management platforms (e.g., Carta).
- Support venture capital financing, debt financing, mergers, acquisitions, and various other transactions.
- Coordinate and oversee due diligence and closing activities, including setting up data rooms, preparing signature packets, and compiling closing volumes.
- Maintain and organize corporate records, minute books, and other legal documentation.
- Prepare and manage corporate and securities filings, including Forms D.
- Conduct legal research and analysis on corporate issues, including regulatory compliance.
- Prepare and file UCC financing statements and perform lien searches.
- Effectively communicate and collaborate with clients, attorneys, and external parties involved in transactions.
Qualifications:
- Bachelor's Degree and/or Paralegal Certificate.
- 4+ years of experience in a corporate law firm.
- Proficiency in Office suite, Carta, and DocuSign (or similar platforms).
- Exceptional organizational skills with the capability to manage multiple priorities and deadlines effectively.
- Detail-oriented, proactive, and adaptable with a strong work ethic.
- Strong communication skills, both written and verbal, with the ability to interact professionally with clients and team members.
Work Hours:
This is a non-exempt hybrid position eligible for overtime compensation. Regular office hours are 8:00 a.m. – 5 p.m. Monday through Friday. The ability to work longer hours is essential during peak workload periods.
