Senior Corporate Attorney

We are a mid-size law firm serving government contractors and commercial businesses, seeking a senior attorney with 10+ years of corporate law experience to join our Business & Transactions practice group.

Position: Senior Corporate Attorney

Location: Washington, DC or Annapolis, MD (Hybrid or Fully Remote)

Key Responsibilities:

  • Lead Mergers & Acquisitions transactions, including managing teams of in-house and outside counsel.
  • Draft and negotiate purchase agreements, financing agreements, and other transaction documents.
  • Coordinate due diligence and closing processes.
  • Act as counsel for buyers and sellers in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, and financing rounds.
  • Provide expertise in executive compensation and synthetic equity offerings.
  • Handle entity formation and structuring, including limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions.

Qualifications:

  • Minimum of 10 years of corporate law experience.
  • Proven track record in leading Mergers & Acquisitions transactions.
  • Experience with government contractors and licensing is a plus.
  • Outstanding negotiation and communication skills.
  • Sharp attention to detail and ability to work well in a collaborative team environment.
  • Admission to practice in or eligibility for prompt admission into the District of Columbia.
  • Maryland and/or Virginia admissions are encouraged.
