Role Summary:

We are in search of a Director of Legal & Compliance who possesses a strong background in non-profit sectors, ideally with experience in anti-trust matters and technical standards development. This key leadership role will ensure that Virtual, Inc. adheres to all relevant laws and regulations globally. You will collaborate closely with our CEO and other executives, serving as the primary legal advisor and guiding the organization in aligning its policies with legislative updates and compliance requirements.


Key Responsibilities:

  • Provide expert legal guidance to the organization's leadership on various legal matters.
  • Assess multiple factors and implications of decisions and actions.
  • Keep the President and CEO informed about compliance with applicable laws and regulations.
  • Develop and implement effective compliance management strategies.
  • Facilitate training sessions and seminars to enhance awareness of compliance protocols.
  • Advise on corporate governance matters and ensure adherence to legal standards.
  • Support discussions on web standards and related legal issues.
  • Contribute to the creation of internal governance policies and manage external influences.
  • Identify potential legal risks and develop strategies to mitigate them.
  • Oversee the execution and refinement of our Patent Policy.
  • Manage the drafting, review, and negotiation of contracts.
  • Stay updated on legislative changes and the regulatory landscape affecting the organization.
  • Build and maintain trust with key stakeholders.
  • Collaborate with external parties as necessary.
  • Handle complex legal matters that intersect various domains.
  • Maintain corporate records and legal documentation.

Qualifications:

  • Juris Doctor (JD) or Bachelor of Laws (LLB)
  • Advanced degree in Business Administration is a plus
  • Demonstrated legal and compliance experience in a non-profit environment
  • Familiarity with competition law as it pertains to standards organizations is highly desirable
  • Experience in technology or member-based organizations is preferred
  • Comprehensive legal knowledge with the ability to formulate compliance strategies
  • Strong ethical standards and integrity
  • Exceptional judgment and analytical abilities
  • Outstanding interpersonal and communication skills
  • Proactive in identifying legal issues and risks
