Job Summary

The law firm of Johnston, Allison & Hord is seeking an experienced Corporate/Commercial Real Estate Paralegal to provide support to the Corporate and Commercial Real Estate departments.

Key Responsibilities
  • Document Preparation: Create organizational documents such as Articles of Incorporation, Bylaws, Articles of Organization, Operating Agreements, and stock certificates.
  • Resolution Drafting: Draft Resolutions for various corporate actions.
  • Dissolution Documents: Prepare and file dissolution documents for all entity types.
  • Trust Account Management: Handle Trust Account funds disbursement.
  • Closing Support: Prepare and monitor closing checklists and transactional documentation from letter of intent to the completion of closing binders.
  • Closing Participation: Participate in closings and oversee the disbursement of closing funds.
  • Registry of Deeds: Acquire Registry of Deeds documentation.
  • Lease Preparation: Assist in the preparation of lease documents.
  • Due Diligence Review: Review due diligence materials.
  • Commercial Real Estate Management: Manage all other aspects of commercial real estate closings.
Requirements
  • Experience: Prior experience with nonprofit/tax exempt organizations is advantageous though not mandatory.
  • Skills: Superb organizational abilities, meticulous attention to detail, effective communication capabilities, precise typing and proofreading skills, and the capacity to manage multiple projects concurrently and meet various deadlines in a dynamic environment.
  • Technology: Proficiency in technology, solid background in working with Microsoft Office (Advanced Word, Outlook, PowerPoint, and Excel), and a thorough understanding of filing procedures with the North Carolina and South Carolina Secretary of State's office.
  • Certifications: A paralegal certificate and Notary designation are prerequisites.
