Position SummaryThe AESC Global Legal Team is in search of a highly qualified Corporate Counsel to enhance our dynamic group. This role is crucial in overseeing and executing strategic transactions for our affiliated companies, encompassing debt and equity financing, mergers and acquisitions, and joint ventures or technology collaborations. The ideal candidate will possess a robust background in corporate law, particularly in transactional matters, and will demonstrate business acumen and maturity. This position reports to the Senior Corporate Counsel, Head of Global Strategic Transactions.
Key Responsibilities- Transaction Oversight: Lead and facilitate a diverse range of strategic transactions, including mergers, acquisitions, joint ventures, technology partnerships, and financing activities.
- Legal Consultation: Offer strategic legal insights to senior management and business units regarding legal ramifications, potential risks linked to business decisions, and other transaction-related issues.
- Due Diligence: Execute and coordinate thorough due diligence processes, identifying and addressing potential legal risks.
- Contractual Negotiation: Draft, review, and negotiate intricate transaction documents, such as term sheets, purchase agreements, and partnership contracts.
- Risk Assessment: Identify, evaluate, and mitigate legal risks associated with strategic transactions.
- Collaborative Engagement: Collaborate closely with internal stakeholders, including business strategy, finance, tax, and corporate development teams, to ensure smooth transaction execution.
- External Liaison: Coordinate with external legal counsel and advisors as needed to support transaction execution.
- Education: Juris Doctor (JD) degree or equivalent from an accredited law institution.
- Bar Admission: Licensed to practice in at least one state bar, preferably California.
- Experience: At least 3 years of relevant experience in a law firm or in-house legal department, focusing on corporate transactions, including corporate finance and M&A.
- Expertise: Comprehensive knowledge of corporate law, securities regulations, and M&A processes.
- Skills:
- Exceptional drafting, negotiation, and analytical abilities.
- Strong communication and interpersonal skills.
- Capacity to manage multiple projects and deadlines in a fast-paced environment.
- Proven ability to work independently and collaboratively.
- Business-oriented mindset with the ability to understand and contribute to the company's strategic objectives.
- High level of integrity and professional ethics.
- Mature and composed demeanor, capable of handling complex and sensitive issues.
- Fluency in Mandarin is essential.
- Industry Background: Prior experience in the electric vehicle, battery manufacturing, energy, or technology sectors.
- Advanced Degrees: An LLM or MBA in a relevant field may be considered advantageous.
- Project Management: Familiarity with project management tools and methodologies.
- Cultural Competence: Experience in a multicultural and international setting.
- Start-up Exposure: Familiarity with the dynamics of start-up environments, demonstrating adaptability in agile and fast-paced contexts.
Occasional domestic and international travel may be necessary.
