Responsibilities:

  • Conduct research on state statutes, local codes, and Secretary of State requirements for corporate formations, amendments, dissolutions, and business license filings.
  • Draft and file documents with local, state, and federal agencies, including standard corporate formation, amendment, and dissolution documents, name reservations, annual reports, stock certificates, and operating and merger agreements.
  • Support and maintain large books of national and international corporate entities across multiple clients.
  • Assist with drafting and filing securities documents, including Section 16, Form ADV, Form ID, and Form D.
  • Prepare and file Form SS-4, Form 2553, Form 2848, and Form 8869 filings with the IRS.
  • Knowledge of UCC processes, including filing UCC financing statements and conducting UCC/lien searches and reviews as part of corporate transactions.
  • Experience with virtual data rooms and cloud software to upload/download documents.
  • Prepare for closings by organizing signature pages, confirming closing checklists, delivering necessary documents, and completing other tasks as necessary.
  • Compile closing sets and maintain minute books.
  • Assist attorneys with Corporate Transparency Act filings.
  • Execute on the minute details of a project or task, providing alternative options/solutions to best serve internal and external clients.
  • Research and execute on necessary procedures to meet client requests.
  • Mentor practice group assistants.
  • Work with service companies to ensure timely filings.
  • Remain current on specific legal guidelines for corporate practice areas, including local, state, and federal regulations, document recording requirements, and filing procedures.
  • Acquire, organize, review, analyze, and summarize documents.
  • Effectively set priorities, provide timely updates, meet deadlines, and manage multiple projects.
  • Remain proficient in Microsoft Suite/Outlook, Intapp, iManage, and other programs used in the practice area.
  • Meticulous time recording skills to accurately bill clients.

Requirements:

  • Paralegal Certificate or related degree preferred.
  • 5 Years Experience.
  • Billable requirement: 1600 hours per year.
  • 5 days in-office.
  • Start time for this role will be either 8:30 a.m. or 9:00 a.m. (Work day hours Monday to Thursday 7.75 hours and Friday 7.5 hours plus overtime when necessary.)

The budgeted salary range for this position is $90,000 and up, based on experience.
