General Summary: The Paralegal, Franchise Support plays a vital role in ensuring legal adherence and managing the contract lifecycle of franchise agreements, facilitating the expansion of franchise operations both domestically and internationally while executing general paralegal responsibilities.
Key Responsibilities:
- Draft and modify franchise agreements, amendments, and associated documentation.
- Evaluate and summarize essential contract elements and gather relevant information regarding franchise agreements to bolster franchise development and compliance.
- Oversee the complete execution of documents by franchisees, ensuring that signed originals are returned and properly archived.
- Coordinate the annual update and processing of disclosure documents (both domestic and international), including the creation of a project plan, task list, and timeline.
- Prepare, update, and manage disclosure documents and related materials for use across various jurisdictions.
- Distribute and monitor the Franchise Disclosure Documents.
- Ensure adherence to franchise agreements concerning insurance, leases, and tri-party agreements; identify and address franchisee non-compliance issues.
- Maintain organized records for franchise agreement materials and provide data or documentation as requested by auditors.
- Handle correspondence on behalf of the legal department to support franchise development, operations, or litigation matters.
- Foster strong relationships with internal clients to guarantee that relevant departments have up-to-date information regarding policies and franchise agreements.
- Build and maintain effective communication with each franchisee's legal counsel or key contact to convey policy details clearly.
- Assist in enhancing processes and documentation necessary for the consistent application of internal franchise documentation policies.
- Engage in special projects, including research, review, and analysis of franchise documentation.
- Draft, review, negotiate, and revise a variety of contracts and agreements.
- Support the entire contract lifecycle, including template development, management, and execution; drafting, revising, negotiating contracts; and overseeing contract filing and management processes.
- Perform additional duties as assigned.
Essential Qualifications:
- Bachelor's degree and/or Paralegal Certificate or completion of a paralegal degree program is preferred.
- A minimum of 5 years of experience as a franchise paralegal is required. Experience in an in-house corporate legal department, particularly within a consumer products company, is preferred.
- Proficient in Microsoft Office Suite.
- Exceptional attention to detail with the capability to manage multiple tasks simultaneously while maintaining focus on task completion without close supervision.
- Ability to uphold confidentiality at all levels.
- Strong organizational, analytical, critical thinking, and problem-solving abilities.
- Proficient in prioritizing, organizing, and managing a demanding workload under tight deadlines.
- Demonstrated reliability and adaptability in time management, work assignments, and deadlines.
- Adept at navigating negotiations to achieve favorable outcomes while minimizing corporate risk.
