Position Overview

As a Corporate Compliance Specialist at Gould & Ratner LLP, you will play a crucial role in ensuring adherence to legal standards and corporate governance practices.

Key Responsibilities

· Oversee the management of legal entities and subsidiaries using the Athennian platform, ensuring that all data remains accurate and up-to-date.

· Produce detailed reports from the Athennian system as required.

· Organize and sustain virtual corporate record repositories.

· Examine entity documentation, collaborate with clients, and prepare beneficial ownership reports in compliance with the Corporate Transparency Act.

· Timely prepare and file annual and other periodic reports across all U.S. jurisdictions.

· Draft various forms, reports, and applications as necessary, ensuring compliance with state regulations (including formation, amendments, changes of registered agent, and alterations in issued shares or paid-in capital).

· Create annual resolutions for boards and stockholders.

· Maintain a tracking system to monitor filing requirements and deadlines for entity maintenance.

Qualifications

· A minimum of 3 years of relevant experience, particularly in relation to the Corporate Transparency Act and prior know-your-client reviews and reporting.

· Strong understanding of legal entity structures and corporate governance principles.

· Exceptional attention to detail and accuracy.

· Excellent verbal and written communication skills, along with strong interpersonal abilities.

· Highly organized with the capability to manage multiple tasks effectively.

· Self-motivated and proactive, with strong problem-solving skills.

· Ability to follow directions and collaborate within a team environment.
