Job Title: Paralegal, Governance, Securities, and M&A

GE HealthCare is seeking a highly skilled Paralegal to join our team in a key role that oversees and coordinates U.S. and global securities law compliance, corporate governance matters, and provides legal support for corporate finance functions.

Key Responsibilities:
  • Assist with preparation and organization of board of directors and board committee minutes, materials, and minute books.
  • Support administrative matters related to SEC and public company reporting, including proxy statement and annual meetings of stockholders, Section 16 filings, and director and officer matters.
  • Collaborate with the team to prepare preliminary transaction documents and closing formalities, document archiving, and management of standard forms and due diligence requests in connection with mergers, acquisitions, and other strategic transactions.
  • Perform a variety of other governance and treasury-related matters, including policies and procedures, global equity compensation, and diligence.
  • Assist with document archiving for securities and governance and M&A team records and administrative matters related to team functions, including billing and vendor management matters.
Requirements:
  • Bachelor's degree, paralegal certificate from an accredited institution, or high school diploma with at least five years of corporate governance, paralegal, or similar legal or executive administrative experience.
  • Proficient with the Microsoft Office product suite and willingness and ability to learn new corporate governance and other software tools.
  • Strong organizational and administrative skills.
  • Notary public or willing to obtain within first six months of employment.

  • Experience in support of corporate records, securities transactions and filings, and M&A transactions preferred.
