About the Role

We are seeking a highly skilled Senior Counsel to join our Governance and Securities team. As a key member of our team, you will provide professional legal support services to senior attorneys, focusing on corporate governance and securities law matters.

Key Responsibilities
  • Advise on corporate governance and securities law matters, ensuring compliance with public company reporting and disclosure requirements.
  • Take lead in preparation and filing of Proxy Statements, coordinating with printer, and preparing drafts, liaising with Shareholder Services for mailing to be in compliance with SEC rules and regulations.
  • Provide support for the Board of Directors and executive leadership team on governance- and shareholder-related matters, including preparation and review of materials for meetings of the Nominating and Corporate Governance Committee and responses to shareholder proposals.
  • Assist with managing Board materials, as needed, and oversee insider trading and Section 16 filing processes.
  • Maintain the corporate website, including updating IR website and coordinating all changes with Communications team.
  • Benchmark securities and governance issues, providing proactive updates and emails/memos to team members.
  • Assist with preparation of agenda and other materials for the Nominating and Corporate Governance Committee.
About You

We are looking for a highly skilled and experienced attorney with a strong background in corporate and securities law. You will have a JD from an accredited law school and be a member in good standing of the State bar of New York. You will also have prior relevant experience in corporate and securities law, with a strong understanding of corporate governance and securities experience.

You will have excellent written and verbal communication skills, a strong work ethic with high level of attention to detail, and proficiency in legal research, Westlaw, and internet research. You will also be proficient in MS Office products and database tools, with the ability to build relationships and communicate effectively with stakeholders.
