Job Title: Corporate Paralegal

**Job Summary:**

The Corporate Paralegal will report to the Vice President and General Counsel (GC) as well as the Director of Legal Services and Assistant General Counsel (Assistant GC) and will act as the lead support to counsel and liaise to business units and departments, outside counsel, and third parties.

Key Responsibilities:
  • **Gathering and Preparing Materials:**
    • Gather, prepare, and summarize relevant materials for use by legal counsel.
  • **Assisting with Data Collection and Management:**
    • Assist with the collection, processing, review, and production of electronic data from internal and external resources.
  • **Leading Corporate Legal Initiatives:**
    • Lead strategic and tactical corporate legal initiatives.
  • **Conducting Research and Investigations:**
    • Conduct legal research and factual investigations.
  • **Managing Data and Documents:**
    • Manage and maintain data in legal software platform.
  • **Drafting and Tracking Documents:**
    • Draft, track, and manage contracts, addendums, and other documentations.
  • **Facilitating Business Transactions:**
    • Facilitate business transactions.
  • **Ensuring Compliance:**
    • Ensure corporate compliance.
  • **Evaluating Processes:**
    • Evaluate the effectiveness and efficiency of administrative, operational, and financial management processes.
Essential Functions:
  • **Proactive Support:**
    • Be a proactive member of the legal team assisting in the timely intake and response to internal client requests, distribution, and collection of documents for review.
  • **Document Drafting and Editing:**
    • Assist with drafting and editing of various legal documents, including contracts, memoranda, and correspondence.
  • **Contract and Document Management:**
    • Track and maintain company contracts, corporate notices, discovery requests, real estate, and finance documents from client teams.
  • **Purchase Requisitions:**
    • Submit purchase requisitions.
  • **Board of Trustees Support:**
    • Prepare notices and other supporting documentation for Board of Trustees meetings for Board of Trustees' Committee and Board meetings.
  • **Legal Research:**
    • Conduct legal research.
  • **Attorney Support:**
    • Monitor attorney calendars for meeting preparation and deliverables.
  • **Department Liaison:**
    • Serve as department liaison for internal and external customers.
  • **Transaction Support:**
    • Assist with transaction closings (including loans, property sales and acquisitions, and easements).
  • **Financial Audit Support:**
    • Assist with preparation and submittal of annual financial audit responses.
  • **Invoice Processing:**
    • Process outside counsel invoices for approval by GC or Assistant GC.
  • **P-Card Reconciliation:**
    • Reconcile P-Card statements with receipts.
  • **Department Files and Board Books:**
    • Maintain department files and board books.
  • **Executive Assistant Support:**
    • Work with Executive Assistant to optimize department efficiency; assume her duties in her absence, as needed (e.g., monthly goals report, calendar maintenance, travel arrangements, supply orders, etc.).
  • **Other Duties:**
    • Perform other duties as applicable to the position or as assigned.
Qualifications and Education Requirements:

Bachelor's Degree and five (5) years of equivalent experience. Graduate degree preferred.

  • Legal research
  • Proficiency with litigation technology databases and litigation management tools

  • Strong multi-tasking, proofreading, attention to detail, and organizational abilities
Physical Requirements:

Must be able to follow established protective measures, including wearing required personal protective equipment (PPE). Must possess a valid driver's license and acceptable Motor Vehicle Report.

Working Conditions:

Some travel and work outside of normal business hours. While working in certain areas of the plant, there is the potential for exposure to hazards typical of an industrial working environment.
