About the Role

We are seeking an experienced Corporate Paralegal to join our team at Jobot. As a key member of our corporate legal team, you will be responsible for assisting in the lifecycle management of various business entities, including corporations, limited liability companies, and partnerships.

Key Responsibilities
  • Entity Management: Assist in the formation, maintenance, and dissolution of business entities, ensuring compliance with state and federal regulations.
  • Transaction Coordination: Coordinate and execute complex corporate transactions, including mergers, acquisitions, and restructurings.
  • Record Keeping: Maintain and update corporate records, including drafting and filing annual reports, amendments, and other required documents.
  • Tax Compliance: Prepare and submit necessary IRS forms for newly established entities and ongoing tax compliance.
  • Document Drafting: Draft and review a wide range of corporate documents, including bylaws, operating agreements, shareholder agreements, and board resolutions.
  • Due Diligence: Conduct comprehensive due diligence reviews for corporate transactions, including document collection and analysis.
  • Collaboration: Coordinate with outside counsel, accountants, and other professionals as needed for multi-jurisdictional or specialized matters.
  • Closing Documents: Prepare and organize closing documents for various corporate transactions.
  • Audit Support: Respond to audit letter requests and coordinate with auditors as necessary.
  • Research and Analysis: Research and analyze corporate and securities laws to support attorney work and ensure compliance.
  • Contract Review: Draft and review commercial contracts, including purchase and sale agreements, license agreements, and service contracts.
  • Shareholder Meetings: Coordinate shareholder meetings, including preparation of notices, proxies, and meeting minutes.
Requirements
  • Education: Bachelor's degree and paralegal certificate or equivalent experience.
  • Experience: Minimum of 4 years of experience as a corporate paralegal in a law firm or in-house legal department.
  • Knowledge: Strong knowledge of corporate law, securities regulations, and business entity structures.
  • Skills: Excellent organizational skills with meticulous attention to detail, outstanding written and verbal communication skills, and ability to work independently and manage multiple projects with competing deadlines.
