Position Overview:

We are in search of a seasoned Corporate Paralegal. The ideal candidate will possess a minimum of 4 years of experience in corporate law and have a solid understanding of business entities and corporate governance. This role is primarily in-office, but offers flexible hours and remote capabilities (paid overtime from home).

Key Responsibilities:
  • Manage the lifecycle of various business entities, including corporations, limited liability companies, and partnerships, from formation to dissolution.
  • Coordinate and execute complex corporate transactions, including mergers, acquisitions, and restructurings.
  • Maintain and update corporate records, ensuring compliance with state and federal regulations.
  • Draft and file annual reports, amendments, and other required documents with government agencies.
  • Prepare and submit necessary IRS forms for newly established entities and ongoing tax compliance.
  • Draft and review a variety of corporate documents, including bylaws, operating agreements, shareholder agreements, and board resolutions.
  • Assist in the preparation of securities filings and compliance with federal and state securities laws.
  • Conduct thorough due diligence reviews for corporate transactions, including document collection and analysis.
  • Collaborate with outside counsel, accountants, and other professionals as needed for specialized matters.
  • Prepare and organize closing documents for various corporate transactions.
  • Respond to audit letter requests and coordinate with auditors as necessary.
  • Research and analyze corporate and securities laws to support attorney work and ensure compliance.
  • Draft and review commercial contracts, including purchase and sale agreements, license agreements, and service contracts.
  • Coordinate shareholder meetings, including preparation of notices, proxies, and meeting minutes.
  • Provide general support to the corporate legal team, including document management and client communication.

Qualifications:
  • Bachelor's degree and paralegal certificate or equivalent experience.
  • Minimum of 4 years of experience as a corporate paralegal in a law firm or in-house legal department.
  • Strong knowledge of corporate law, securities regulations, and business entity structures.
  • Excellent organizational skills with meticulous attention to detail.
  • Outstanding written and verbal communication skills.
  • Ability to work independently and manage multiple projects with competing deadlines.
  • Experience with complex corporate transactions and regulatory filings.
