Job Summary:

Lupin Pharmaceuticals is seeking a highly skilled and experienced Executive Director, Legal Counsel, M&A to lead the strategic transactions function for our US Generics business. This role will be responsible for driving the strategic and business planning function, including ongoing assessment and forecasting of key assets, helping to de-risk key assets, accelerating approvals for complex programs, and leading integrated efforts to assure the delivery of the strategic plan.

Key Responsibilities:

  • Lead strategic transactions, including negotiations for corporate M&A and complex licensing and collaboration transactions
  • Structure, draft, and negotiate complex transactional agreements
  • Manage internal and external deal processes and drive deal execution
  • Plan, assist, and coordinate due diligence exercises
  • Work closely with Business Development, Finance/Accounting, Commercial, and Specialty Businesses to assist in their day-to-day operations
  • Research, report, and recommend corporate actions based on applicable laws and regulations
  • Review and revise company policies and procedures as required
  • Support Senior Vice President Legal Affairs in other tasks
  • Advise senior management and business personnel
  • Assist with regulatory and other legal pharmaceutical compliance matters
  • Manage outside advisors

Requirements:

  • JD degree from an ABA-accredited law school with strong academic credentials
  • BA/BS from an accredited institution
  • Ten years of law firm and/or in-house, pharmaceutical legal experience
  • Member of at least one state bar
  • Robust understanding of pharmaceutical business transactions and regulatory issues, intellectual property law, licensing, and mergers and acquisitions
  • Experience with drafting and negotiating M&A documents, commercial contracts, and pharmaceutical licensing agreements
  • Excellent communication skills
  • History of self-motivation, sound judgment, and excellent interpersonal relations
  • Ability to communicate effectively with a variety of constituents
  • Broad business orientation and ability to quickly establish credibility as an attorney and business partner
  • Responsiveness and adaptability
  • Integrity and strong ethics
  • Ability to travel periodically as needed
  • Willingness and interest in learning and continuing to develop one's career and skills
