Key Responsibilities- Commercial Transactions and Contract Negotiation: Draft, negotiate, and review complex commercial agreements, including software development and licensing agreements, strategic alliance agreements, and event-related agreements.
- Corporate Law and Compliance: Provide strategic advice and counsel on business-law issues and operational matters, ensuring compliance with regulatory requirements and AHA's strategic plan and values.
- Contract Management and Maintenance: Handle all corporate maintenance for AHA and its affiliates, including record-keeping and contract management.
- Government Contracting and Compliance: Support federal government contracts compliance efforts and address issues raised working with outside counsel as needed.
- Efficiency and Process Improvement: Create efficiencies in the contracting life cycle, including drafting and training on templates.
- Business Advisory and Support: Serve as a reliable legal and business advisor on various matters, addressing issues relating to for-profit and non-profit law.
- Training and Development: Collaborate with the Senior Compliance Officer to conduct trainings on data privacy, data security, attorney-client privilege, and intellectual property issues.
- Trademark Portfolio Management: Handle maintenance and upkeep of AHA's trademark portfolio and work with outside counsel as needed on trademark issues.
- Pre-Litigation Dispute Resolution: Represent AHA effectively in pre-litigation dispute resolution.
- Internal and External Representation: Represent AHA effectively internally and externally, including with outside counsel.
- Collaboration and Teamwork: Work collaboratively with colleagues across AHA to develop and support organization-wide initiatives and to advance AHA's overall impact and strategic plan.
- Process Improvement and Communication: Support and improve AHA's internal processes and systems, implementing and communicating changes as needed.
To be successful in this role, you will need:
- Strong Experience in Commercial Transactions and Corporate Law: A minimum of 3 years of experience in complex commercial transactions and corporate law, including corporate maintenance, record-keeping, and contract management.
- Law Firm Experience: Law firm experience is required, with a strong preference for experience in a top 40 AM Law firm.
- Business Law and Compliance Knowledge: A broad knowledge of general corporate and business law, including data privacy, data security, insurance, intellectual property, and risk counseling.
- Project Management and Organizational Skills: Excellent organizational skills, with the ability to manage multiple projects and priorities.
- Communication and Interpersonal Skills: Strong communication and interpersonal skills, with the ability to work effectively with colleagues, management, and external stakeholders.
