Senior Counsel Job Description

Groupon is seeking a highly skilled Senior Counsel to join our dynamic legal team. As a key member of our corporate legal team, you will play a critical role in supporting the company's growth and success.

Responsibilities:
  • Assist in the preparation of SEC filings, including Form 10-Ks, Form 10-Qs, and Form 8-Ks, ensuring compliance with all relevant regulations.
  • Lead the planning and project team for the annual meeting of stockholders, ensuring a smooth and successful event.
  • Lead merger and acquisition activity, divestitures, strategic investments, and other corporate transactions, providing expert guidance and support.
  • Negotiate and draft agreements for M&A transactions, divestitures, strategic investments, and other corporate transactions, ensuring the company's interests are protected.
  • Draft and manage Section 16 filings, ensuring compliance with all relevant regulations.
  • Draft and assist with the preparation of board and committee meeting materials, providing clear and concise information.
  • Lead global subsidiary management with cross-functional teams, ensuring compliance with all relevant regulations and company policies.
  • Assist with general corporate and public company compliance matters and special projects as necessary, providing expert guidance and support.
  • Support special corporate and securities projects, including offerings and investments, ensuring the company's interests are protected.
Qualifications:
  • Minimum of 6 years of significant securities and capital markets experience required (in-house or at a law firm).
  • A team player with an ability to collaborate effectively with cross-functional teams.
  • Proven track record of working independently and driving projects to completion with minimal supervision.
  • Flexibility, self-starting attitude, and a strong work ethic, enabling you to thrive in a fast-paced and evolving environment.
  • Strong organizational skills, allowing you to manage multiple projects simultaneously.
  • Demonstrated desire for personal growth and an eagerness to take on new challenges and responsibilities over time.
  • Excellent written and oral communication skills, including the ability to present complex legal concepts clearly and concisely.
