Job Description

We are seeking a highly skilled Corporate Finance Specialist to join our team at The Sherwin-Williams Company. This role will involve supporting general corporate legal matters primarily related to Corporate Finance, Securities and Corporate Governance.

The ideal candidate will have 5-8 years of experience in a law firm and/or corporate legal department, with expertise in advising on Corporate Finance, Securities and Corporate Governance matters. A Juris Doctor degree and license to practice law in Ohio or ability to obtain licensure in Ohio are also required.

Key Responsibilities:

  • Commercial Agreement Review and Negotiation: The successful candidate will review and negotiate commercial agreements for internal business partners in various corporate departments.
  • Regulatory Compliance: The specialist will support the preparation of Section 16 forms, SEC forms, and assist with compliance with NYSE rules and regulations.
  • Proxy Statement and Annual Meeting Support: The candidate will play a key role in drafting the Proxy Statement and supporting all stages of the planning and execution of the Annual Meeting of Shareholders.
