Job Overview

Sage Hospitality Group is seeking a highly skilled and experienced Vice President of Legal/Corporate Counsel to join our team in Denver, Colorado.

Responsibilities
  • Provide strategic legal counsel to the executive team and oversee all legal matters related to the company's operations.
  • Manage the legal department, collaborate with external legal firms as necessary, and play a critical role in risk management, contract negotiation, and corporate governance.
  • Draft documents and serve as primary transaction counsel for management agreements, technical services agreements, and other contracts.
  • Provide expert legal advice to senior management and various departments on a wide range of legal matters, including corporate governance, contracts, compliance, real estate, intellectual property, employment law, and litigation.
  • Oversee and manage litigation matters involving the company, working closely with external counsel to develop strategies, manage costs, and achieve favorable outcomes.
  • Draft, review, and negotiate a variety of contracts, including management agreements, joint venture agreements, vendor agreements, service contracts, non-disclosure agreements, and leases.
  • Provide legal support for real estate transactions, including acquisitions and development projects.
  • Ensure the company's compliance with all federal, state, and local regulations, including labor laws, health and safety regulations, and environmental laws.
  • Advise on employment law matters, including labor relations and labor disputes, and coordinate with external legal counsel on the resolution of employment law claims.
Qualifications
  • Juris Doctor degree from an accredited law school.
  • Active bar membership in good standing.
  • 10+ years of experience in legal and risk management, including at least 5+ years of experience as transactional counsel.
  • Strong knowledge of hotel management agreements, hotel technical service agreements, and all pertinent legal constructs.
  • Strong working knowledge and familiarity with legal and contractual compliance, regulatory compliance, health and safety, environmental, and other operational risks.
  • Effective communication and interpersonal skills.
  • Ability to supervise and mentor multiple team members.
  • Demonstrated ability to manage multiple deadlines against shifting priorities, highly organized, and detail-oriented.
  • Ability to work in a fast-paced, rapidly growing, entrepreneurial organization.
