Position Overview

The Corporate Counsel will report directly to the General Counsel and will be instrumental in providing legal and strategic guidance on various legal matters pertinent to Farmer Mac's mission-driven initiatives. This role will primarily emphasize transaction oversight, ensuring the effective preparation, review, and negotiation of legal documents to facilitate commercial dealings in our Agricultural Finance and Rural Infrastructure Finance sectors.

Key Responsibilities

  • Deliver comprehensive legal and strategic counsel on all matters related to Farmer Mac's mission-oriented operations.
  • Manage the legal aspects of transaction oversight, including documentation for commercial transactions linked to secured lending, servicing, investments, and capital markets. Key tasks include advising on transaction frameworks and drafting, reviewing, and negotiating legal documents in areas such as:
    • Complex secured finance, institutional credit, and investment transactions, including agreements for agribusiness loans and telecommunications infrastructure;
    • Asset-backed securities offerings and unregistered debt and equity securities, including due diligence and transaction document reviews;
    • Commercial mortgage loan documentation and closings for secured lending, focusing on note and mortgage interpretation, intercreditor agreements, UCC matters, and title issues;
    • Financing for renewable energy project acquisition, development, and construction;
    • Acquisition of loan portfolios and servicing rights, along with transition support;
    • Unique Farmer Mac products such as AgVantage securities and off-balance sheet loan purchase commitments;
    • Loan servicing agreements and documentation for necessary servicing actions;
    • Repurchase agreements, derivatives transactions, and corporate investments;
    • Confidentiality agreements related to transactional activities;
    • Alliance, incentive, and licensing arrangements with business partners.
  • Assist in the formulation and revision of board and management policies, procedures, and internal documentation relevant to Farmer Mac's mission.
  • Stay abreast of regulatory changes impacting Farmer Mac, advising business units and collaborating on necessary adjustments.
  • Oversee external counsel on complex transactions, ensuring alignment with Farmer Mac's specific requirements and managing legal opinion content and fee reasonableness.
  • Collaborate closely with Business Development, Finance, and Operations/Servicing teams to provide practical legal support and solutions to achieve business goals.
  • Undertake additional responsibilities as assigned by the General Counsel.

Qualifications

  • Proven expertise in complex secured finance transactions, including mortgage or asset finance, real estate finance, project finance, and securitizations.
  • Experience in the financial services sector, preferably with a background in representing regulated financial institutions.
  • Strong organizational skills to manage multiple time-sensitive projects and documentation standardization, with the ability to work independently or as part of a team.
  • Exceptional analytical skills and sound judgment, complemented by a collaborative approach to achieving objectives.
  • Excellent communication skills, both verbal and written, with the ability to convey complex issues clearly.
  • Demonstrated work ethic and enthusiasm for a dynamic, fast-paced environment.
  • High integrity and professional ethics, aligned with Farmer Mac's mission to support rural America.

Education and Experience

  • J.D. degree with a minimum of five years of relevant legal practice, including experience in private law firms or in-house counsel roles.
  • Active bar membership in good standing is preferred.
