Job Overview

Farmer Mac, a mission-driven organization focused on enhancing the financial landscape for American agriculture and rural communities, is seeking a Corporate Counsel. This role will report directly to the General Counsel and will be pivotal in providing legal guidance and strategic insights on matters pertinent to Farmer Mac's operations.

Position Highlights

The Corporate Counsel will primarily concentrate on transaction oversight, ensuring the preparation, review, and negotiation of legal documents essential for executing commercial agreements within the Agricultural Finance and Rural Infrastructure Finance sectors.

Key Responsibilities

  • Deliver comprehensive legal advice on all aspects of Farmer Mac's mission-driven activities.
  • Manage legal components of transaction oversight, including documentation for secured lending, servicing, investments, and capital markets. Key areas of focus include:
    • Complex secured finance and investment transactions, including agreements for agribusiness loans and digital infrastructure projects.
    • Asset-backed securities offerings and related due diligence.
    • Commercial mortgage documentation and loan closing processes.
    • Financing for renewable energy project development.
    • Acquisition of loan portfolios and servicing rights.
    • Unique financial products such as AgVantage securities.
    • Loan servicing agreements and necessary documentation.
    • Derivatives transactions and corporate investment agreements.
  • Assist in drafting and updating internal policies and procedures related to mission activities.
  • Stay informed on regulatory changes impacting Farmer Mac and collaborate with business units to implement necessary adjustments.
  • Oversee external legal counsel on complex transactions, ensuring alignment with Farmer Mac's requirements.
  • Collaborate with various teams to provide practical legal support that aligns with business objectives.
  • Undertake additional responsibilities as assigned by the General Counsel.

Qualifications

  • Proven expertise in complex secured finance transactions, including real estate and project finance.
  • Experience in the financial services industry, particularly with regulated financial institutions.
  • Ability to manage multiple time-sensitive projects and work independently or collaboratively.
  • Strong analytical skills and sound judgment with a focus on solutions.
  • Excellent communication skills, both verbal and written.
  • Commitment to high ethical standards and alignment with Farmer Mac's mission.

Education

  • J.D. degree with a minimum of five years of relevant legal experience.
  • Active bar membership in good standing is preferred.
