Key Responsibilities:
  • Provide counsel on a wide array of securities regulations and corporate governance issues.
  • Assist in drafting and reviewing securities filings, including annual, quarterly, and current reports, proxy statements, registration statements, Form SD, and Section 16 filings.
  • Support the implementation of policies and procedures to ensure adherence to Sarbanes-Oxley, Nasdaq regulations, SEC regulations (such as insider trading, Reg. FD, and Reg. G), and other applicable regulations for public companies.
  • Facilitate compliance related to conflict minerals disclosure.
  • Prepare materials for Board of Directors and committee meetings on topics such as financial assessments, corporate governance, and strategic initiatives.
  • Provide legal assistance for domestic and international subsidiary operations, coordinating with the tax department on legal entity restructuring.
  • Support equity and financing transactions.
  • Advise on securities issues related to corporate and strategic transactions.
  • Engage with institutional shareholders and proxy advisory services.
  • Collaborate with tax, treasury, investor relations, finance, and stock plan administration teams.
  • Build strong working relationships with key members of assigned functional groups or business units.
  • Work closely with non-attorney personnel.
  • Operate under general supervision while keeping management informed of project progress.
  • Assist in creating training materials and conducting training sessions for client groups on relevant topics.
  • Effectively manage external legal counsel.
Qualifications:
  • J.D. degree from an accredited law school.
  • Active member of the California (or other acceptable jurisdiction) bar association in good standing.
  • Over 10 years of experience in a national law firm or as an in-house attorney.
  • Strong background in securities and corporate governance.
  • Understanding of financial statements.
  • Familiarity with conflict minerals disclosure regulations is preferred.
  • Excellent legal drafting abilities with a keen attention to detail.
  • Strong presence and capability to work effectively within a team and with various business functions, external auditors, outside counsel, and senior executives.
  • Ability to clearly communicate complex legal and compliance matters both verbally and in writing.
  • Proficient in delivering effective presentations on legal issues to employees across all levels of the organization.
  • Ability to foster trust and confidence through strong communication and interpersonal skills.
  • Adaptable, with the capacity to plan and manage projects from inception to completion in a dynamic environment.
  • Proactive in anticipating the needs of clients and managers, exercising independent judgment, and managing multiple projects simultaneously.
  • Focused on critical priorities with minimal supervision.
  • Strong work ethic and ability to produce high-quality work under tight deadlines.
