Key Responsibilities:
  • Provide guidance on a wide array of securities regulations and corporate governance issues.
  • Assist in the drafting and evaluation of securities documentation, including annual and quarterly reports, proxy statements, and registration filings.
  • Support the implementation of policies to ensure adherence to Sarbanes-Oxley, Nasdaq, SEC regulations, and other relevant compliance requirements.
  • Facilitate compliance regarding conflict minerals disclosures.
  • Prepare materials for Board of Directors and committee meetings, focusing on financial assessments, governance, and strategic initiatives.
  • Offer legal assistance for both domestic and international subsidiary operations, coordinating with the tax department on legal entity restructuring.
  • Support equity and financing transactions.
  • Advise on securities-related matters in the context of corporate and strategic initiatives.
  • Engage with institutional shareholders and proxy advisory services.
  • Provide legal support to tax, treasury, investor relations, finance, and stock plan administration teams.
  • Build strong relationships with key stakeholders across various business units.
  • Collaborate effectively with non-legal staff.
  • Work under general supervision while keeping management informed of project progress.
  • Assist in creating training materials and conducting educational sessions on relevant legal topics.
  • Manage external legal counsel effectively.
Qualifications:
  • J.D. degree from an accredited law school.
  • Active member of the California (or other acceptable jurisdiction) bar association in good standing.
  • Over 10 years of experience in a national law firm or a combination of law firm and in-house legal experience.
  • Strong background in securities law and corporate governance.
  • Proficient understanding of financial statements.
  • Familiarity with conflict minerals disclosure regulations is advantageous.
  • Exceptional legal drafting skills with meticulous attention to detail.
  • Strong interpersonal skills and the ability to collaborate effectively with teams and senior executives.
  • Capable of articulating complex legal and compliance issues clearly, both verbally and in writing.
  • Adept at delivering impactful presentations on legal matters to diverse audiences.
  • Ability to foster trust and confidence through effective communication.
  • Flexible and capable of managing projects from inception to completion in a dynamic environment.
  • Proactive in anticipating client and management needs, exercising independent judgment, and managing multiple priorities.
  • Strong focus on critical tasks with minimal supervision.
  • Demonstrated work ethic and ability to produce high-quality work under pressure.
