Position Overview: This role is a temp-to-hire opportunity with a hybrid work schedule, allowing for flexibility between in-office and remote work.

The primary function of this position is to provide comprehensive legal assistance with a strong emphasis on corporate governance. Responsibilities encompass a variety of tasks essential for the organization and its affiliated entities. Key duties include the management of corporate minute books, support for SEC reporting, facilitation of annual meetings, and addressing diverse corporate legal matters. Additionally, the role involves overseeing new litigation and pre-litigation issues, handling insurance matters, and managing legal holds, all while effectively balancing business and legal considerations to identify and mitigate risks.

Key Responsibilities:

  • Deliver legal advice and support on corporate governance and litigation issues, including but not limited to:
    • Organizing and maintaining board and committee minute books, along with director and officer files.
    • Supervising essential corporate governance documents and policies.
    • Preparing for the annual shareholder meeting, which includes drafting and distributing proxy materials and associated documents.
    • Coordinating all elements of Board of Directors and Committee meetings, such as drafting agendas, minutes, resolutions, consents, and managing record-keeping.
    • Managing stockholder affairs, including maintaining equity documentation, assisting with equity plan administration, and overseeing insider trading processes.
    • Preparing and filing SEC documents, including Section 16 filings, and supporting 10-K and 10-Q filings while ensuring compliance with NASDAQ regulations.
    • Implementing and managing a corporate compliance calendar and maintaining records retention programs.
    • Acting as the custodian of corporate records and liaising with auditors regarding corporate recordkeeping.
    • Overseeing corporate authority structures, including delegations of authority and powers of attorney.
    • Supporting compliance-related policies and processes, including training, enforcement, and adherence to regulations.
    • Conducting research and staying informed on corporate governance trends, developing internal resources, and maintaining organized documentation.
    • Managing all aspects of legal holds, including issuing hold notices, following up with relevant individuals, and ensuring compliance with retention obligations.
    • Tracking and reporting on litigation and pre-litigation matters, including key metrics and case statuses.
    • Reporting claims to insurance providers and managing related communications.
  • Represent the Legal department, fostering positive relationships across all organizational levels.
  • Perform additional duties as assigned by the supervisor.

Qualifications:

  • Education and Experience:
    • Associate degree or equivalent required; Bachelor's degree preferred.
    • A minimum of 5 years of experience as a paralegal, focusing on corporate or SEC matters, preferably within the retail, hospitality, or restaurant sectors.
    • In-house paralegal experience is highly desirable.
  • Certifications:
    • Paralegal certificate from an accredited program required.

This position is well-suited for an individual with extensive paralegal experience who seeks to contribute to the corporate governance and legal compliance initiatives of a dynamic organization.
