Job Summary

We are seeking a highly skilled Corporate Counsel Technology to join our team at the Automobile Club of Southern California. As a key member of our legal team, you will play a critical role in negotiating technology agreements, providing data privacy and security advice, and collaborating with internal stakeholders to drive business operations.

Key Responsibilities
  • Review, draft, and negotiate technology agreements, including hardware, software licenses, data licenses, and professional services contracts.
  • Provide accurate and timely advice on matters related to software licenses, software license audits, open-source software, and data privacy.
  • Collaborate with legal and client teams to address procurement processes, negotiation strategy, intellectual property, privacy, cybersecurity, data use, content use, and data incident response.
  • Support data security projects and responsibilities, including the development of the organization's data incident response program.
  • Assist senior counsel on matters related to privacy, data security, intellectual property, financial, and technology transactions.
  • Support the development and drafting of privacy notices and policies.
Requirements
  • J.D. degree from an ABA-approved law school and active membership in good standing of the California Bar (or eligible to practice as a California registered in-house counsel).
  • At least 3 years' experience as a technology transactions attorney with significant experience in software and data licensing transactions, data privacy agreements, and a working knowledge of privacy, data security, and/or intellectual property issues.
  • Strong organizational, analytical, and communication skills to express complex legal matters in clear, concise, business-friendly language.
  • Ability to recognize and weigh business and legal risks, think strategically, and advance creative, sound practical solutions in the context of business goals and deadlines.
  • Clear writer and tactful communicator.
  • Ability to collaborate with the team and bring a positive can-do attitude to work.
  • Ability to deliver practical advice that the client can act on.
  • Attention to detail.
  • Flexible mindset and ability to work with many internal and external clients.
  • Creative, sound judgment, and ability to both mentor under a senior attorney and work independently.
  • Strong contract negotiation skills, ability to draft in plain English, with attention to detail and practical concise contract issue solutions.
  • Strong project management skills and ability to effectively manage multiple projects simultaneously.
  • High level of skill using software tools like Microsoft Office, Word, and Teams, and Adobe Acrobat.
