Job Title: Contracts Manager or Paralegal II/III

We are seeking a highly skilled Contracts Manager or Paralegal II/III to join our team at NWRPros. As a key member of our commercial contracts team, you will be responsible for drafting and negotiating agreements, reviewing contracts, and ensuring compliance with company policies and procedures.

Key Responsibilities:
  • Agreement Drafting and Negotiation: Using independent judgment, draft standard agreements based on company templates, including non-disclosure agreements, master service agreements, consulting agreements, material transfer agreements, clinical trial agreements, and related amendments.
  • Contract Review and Administration: Review agreements to provide information to the company's attorneys and other staff related to agreement administration, including milestone requirements and reporting obligations.
  • Document Production and Due Diligence: Assist in document production and due diligence activities, including the configuration of the company's contract lifecycle management (CLM) system.
  • Contract Processes and Procedures: Guide company staff with respect to contract processes and procedures, ensuring complete and accurate input of contracts and contract provisions.
  • Confidentiality and Discretion: Work with material that is generally of a critical or confidential nature, requiring a high level of discretion and professionalism.
Requirements:
  • Education and Experience: A minimum of 10 years of legal contract drafting and negotiation experience, or a BA/BS degree and a minimum of 5 years of legal contract drafting and negotiation experience, or an AA degree/paralegal certificate and equivalent combination of education and work experience.
  • Skills and Knowledge: Strong computer skills, including applications used in general office settings, such as word processing, spreadsheet, database management, presentation software, and Internet search engines. CLM system experience a plus.
  • Organizational and Communication Skills: Strong organizational skills, attention to detail, and ability to spot issues and problematic contract provisions. Excellent verbal and written communication skills, with the ability to represent the company in a professional manner.
Compensation and Benefits:

We offer a competitive total compensation package, including a salary range of $100,000 - $135,000 per year, medical, dental, vision, and life insurance, a 401k plan with a company match, three weeks of vacation, 80 hours of sick time, and twelve paid holidays. This position is eligible for bonus and stock options.
