Position Summary

The AESC Global Legal Team is in search of a highly proficient Corporate Counsel to enhance our dynamic team. This role is crucial in overseeing and executing strategic transactions for our group entities, including debt and equity financing, mergers and acquisitions, and joint ventures or technology partnerships. The ideal candidate will possess a robust background in corporate law, emphasizing transactional work and strategic advisory, complemented by business acumen and maturity. This position reports to the Senior Corporate Counsel, Head of Global Strategic Transactions.

Key Responsibilities
  • Transactional Oversight: Lead and facilitate a diverse range of strategic transactions, encompassing mergers and acquisitions, joint ventures, technology partnerships, and financing activities.
  • Legal Consultation: Offer strategic legal counsel to senior management and business units regarding legal implications, potential risks associated with business decisions, and other transaction-related matters.
  • Due Diligence: Execute and coordinate thorough due diligence processes, identifying and mitigating potential legal risks.
  • Contract Drafting and Negotiation: Prepare, review, and negotiate intricate transaction documents, including term sheets, purchase agreements, and partnership agreements.
  • Risk Assessment: Identify, evaluate, and mitigate legal risks linked to strategic transactions.
  • Collaborative Engagement: Collaborate closely with internal stakeholders, including business strategy, finance, tax, and corporate development teams, to ensure smooth transaction execution.
  • External Liaison: Coordinate with external counsel and advisors as necessary to support transaction execution.
Qualifications
  • Education: Juris Doctor (JD) degree or equivalent from an accredited law school.
  • Bar Admission: Admission to at least one state bar, preferably California.
  • Experience: Minimum of 3 years of relevant experience in a law firm or in-house legal department, focusing on corporate transactions such as corporate finance and M&A.
  • Expertise: In-depth knowledge of corporate law, securities regulations, and M&A processes.
  • Skills:
    1. Exceptional drafting, negotiation, and analytical skills.
    2. Strong communication and interpersonal abilities.
    3. Capacity to manage multiple projects and deadlines in a fast-paced environment.
    4. Proven ability to work independently and collaboratively.
    5. Business-oriented mindset with the ability to align with the company's strategic objectives.
    6. High level of integrity and professional ethics.
    7. Mature and composed demeanor, capable of handling complex and sensitive matters.
    8. Fluency in Mandarin is required.
Preferred Qualifications
  • Industry Experience: Previous experience in the electric vehicle, battery manufacturing, energy, or technology sectors.
  • Advanced Degrees: An LLM or MBA in a relevant field or equivalent experience is advantageous.
  • Project Management Skills: Familiarity with project management tools and methodologies.
  • Cultural Awareness: Experience in a multicultural and international setting.
  • Start-up Experience: Familiarity with the dynamics of start-up environments, demonstrating an ability to thrive in agile and fast-paced settings.
Travel Requirements

Occasional domestic and international travel may be necessary.
