Key Responsibilities:


The Corporate Legal Specialist will primarily oversee the organization’s corporate documentation, including filings, licenses, registrations, and related matters. This role also involves managing the contract repository and assisting attorneys with contract interpretation and drafting as necessary.

The ideal candidate should demonstrate strong time management and communication skills, both written and verbal; be self-driven, highly organized, and capable of maintaining accurate and updated files. The ability to manage multiple concurrent tasks, meet deadlines, and effectively engage with a diverse range of individuals is essential.


Corporate Governance Support:

Assist in corporate governance activities, including managing entity changes, annual filings, requests for apostilled documents, and maintaining the corporate tracker.


Contract Oversight:
Act as the primary contact for contract management. Ensure all contracts are saved and maintained in the contract management software, and review submissions from other departments for approval.
Document Management:
Aid in the drafting, formatting, proofreading, and editing of legal documents, contracts, correspondence, and other materials as required.
Intellectual Property and Licensing:

Maintain the intellectual property tracker, manage renewals and new applications for various business licenses, and collaborate with attorneys and external counsel as needed.


Reporting and Compliance:

Assist in gathering necessary information for various requests from local regulatory authorities or in connection with other corporate matters.


Process Improvement:

Identify opportunities for enhancing processes and implement best practices to improve the efficiency and effectiveness of administrative functions within the legal department.


Administrative Support:

Assist with the submission and tracking of various invoices and help coordinate and manage various legal projects.


Qualifications:
A Bachelor’s degree or equivalent experience in Legal, Business Administration, or a related field.

3-5 years of experience as a Paralegal or Legal Assistant.

A Paralegal certificate is preferred but not mandatory for candidates with relevant experience.

Florida Licensed Notary is a plus.

Bilingual proficiency in English and Spanish is highly preferred.

Previous experience in an in-house corporate legal department as a legal assistant or paralegal is advantageous.

Strong analytical skills with exceptional organizational abilities and attention to detail.

Knowledge, Skills, and Abilities:
Proficiency in Microsoft 365 (e.g., SharePoint, Teams) and Office Suite (e.g., PowerPoint, Word, Excel). Experience with contract management software is a plus.
