Job Overview

5 Legal is seeking a skilled Private Fund Formation Associate to join their Financial Services group.

The ideal candidate will have 3-5 years of experience in private fund formation, including drafting and negotiating fund documentation, managing fund raises from launch to close, and interfacing with clients and investors.

Key responsibilities will include:

  • Drafting and negotiating fund documentation, including private placement memoranda, fund agreements, and subscription agreements
  • Managing the entire fund raise process, from launch to close
  • Interfacing with clients and investors, including negotiating side letters and reviewing subscription documentation
  • Understanding and applying federal securities laws, including Regulation D offering requirements and exemptions to the Investment Company Act

Direct private funds experience is preferred, but strong corporate associates with an interest in private funds work will also be considered. Admission to the bar of the relevant jurisdiction is preferred but not required.

Requirements:

  • 3-5 years of experience in private fund formation
  • Strong understanding of federal securities laws
  • Excellent communication and negotiation skills
  • Ability to work independently and as part of a team
