M&A Accounting Manager

Pacifica Continental, a prominent global organization with a diverse portfolio of business operations, is seeking a Manager of M&A Accounting to enhance their Accounting division. This pivotal role will report directly to the VP & GM of Accounting and will be integral in overseeing the assimilation of newly acquired entities into the company's financial closing and reporting frameworks.
The selected candidate will collaborate closely with the accounting teams from acquired entities and various functional departments within Pacifica Continental to ensure a seamless integration process.
Key Responsibilities:- Oversee the planning, coordination, and management of the accounting due diligence for potential acquisitions or investments, ensuring thorough review of third-party consultant findings.
- Examine draft purchase and sale agreements, closing statements, and flow of funds while preparing and reviewing post-acquisition opening balance sheet journal entries.
- Support the comprehensive Post-Merger Integration (PMI) process, which includes formulating the integration strategy, organizing Day 1 activities, and managing the project plans for each business function.
- Administer the preparation of purchase price allocations in compliance with ASC 805.
- Prepare or review monthly closing journal entries and other related activities to guarantee accurate consolidation of post-acquisition transactions during the integration phase.
- Manage the integration and implementation processes for newly acquired companies, focusing on the transition of responsibilities and the harmonization of accounting policies and closing procedures.
- Establish and maintain a robust system of controls, policies, and procedures for newly acquired entities as necessary.
- Ensure strict compliance with the company's internal controls related to Revenue and Financial Reporting.
- Assist in analyzing and documenting a variety of complex technical accounting issues, including acquisitions, purchase price allocations, revenue recognition, and executive compensation arrangements.
- Drive process enhancements and re-engineer integration procedures towards standardized solutions.
- Collaborate with close and consolidation teams to facilitate the transition of general ledger activities following mergers.
- Bachelor's Degree required.
- Minimum of 6 years of progressive accounting experience, including at least 6 years in a supervisory capacity.
- A blend of public accounting experience and private industry is essential.
- Advanced proficiency in Excel is required.
- Experience with post-acquisition accounting integrations and a solid understanding of technical accounting standards and financial reporting requirements.
- Familiarity with accounting research and documentation, particularly in performing ASC 805 purchase price allocations.
- In-depth knowledge of US GAAP and IFRS.
- Exceptional communication, organizational, analytical, problem-solving, and decision-making skills.
- Certified Public Accountant (CPA) designation is strongly preferred.
- Experience with a Big 4 accounting firm is advantageous.
- Experience in consulting firms or large multinational corporations across various geographical regions is beneficial.
- Understanding of monthly operational accounting close activities.
- Strong interpersonal skills for effective collaboration with cross-functional teams and senior management.
- Ability to manage multiple tasks and meet several deadlines simultaneously.
Work Arrangement: Hybrid - 2.5 Days in Office
