Position Overview

The Head of Mergers and Acquisitions is a pivotal leadership position within our organization, focusing on the initiation, assessment, negotiation, and finalization of acquisitions and divestitures in the utility-scale renewable energy sector, specifically wind, solar, and storage projects. Your expertise in facilitating deal flow will enhance our competitive stance in this vital growth sector.

In this role, you will be tasked with delivering high-quality, profitable projects that align with investor expectations. A thorough analysis of both the internal and external business landscape of potential projects will be essential, allowing you to devise a compelling strategy for our company to transform opportunities into operational assets.

Success in this position requires a profound understanding of renewable energy markets and a robust professional network to identify and pursue acquisition prospects. We aim to collaborate with top-tier developers possessing financeable utility-scale wind and solar assets, primarily through direct negotiations. Your ability to connect with key stakeholders and effectively communicate our value proposition will set you apart in this role.

Your commercial acumen will empower you to lead in various capacities, either immediately or within the first year. An analytical approach will enable you to pose critical questions, guide and/or oversee analyses, and apply findings to our departmental and project-specific strategies. Collaborating effectively with our Legal team will be crucial, as you will need to leverage key contractual terms to structure sustainable and successful deals.

Key Responsibilities

  • Lead the due diligence process and internal coordination of the M&A team, ensuring collaboration with engineering, development, construction, legal, and project finance teams.
  • Establish professional relationships with market participants to create opportunities for potential projects.
  • Research and identify attractive M&A opportunities in the renewable energy sector and initiate negotiations for transactional documentation and structuring.
  • Oversee investment-related communications and decision-making, including drafting offer letters and serving as the primary liaison for counterparties.
  • Direct the analysis of potential project acquisitions, focusing on economic risks and strategic alternatives.
  • Drive the development and refinement of M&A strategies, generating actionable insights on potential projects and future trends in renewable energy.
  • Utilize creative problem-solving and analytical skills to identify and communicate actionable insights.
  • Anticipate potential risks and formulate strategies to mitigate them.
  • Monitor market changes to identify areas with significant potential opportunities.

  • Preparing proposals, presentations, and reports as required.
  • Traveling as necessary, anticipated to be around 20-40% of your time.

Key characteristics for success in this role include:

  • A Bachelor's degree from an accredited institution; an MBA is preferred.
  • 5+ years of experience in solar and wind development and/or late-stage project acquisition.
  • Experience serving as second chair or leading multiple project acquisitions, including contract negotiations.
  • Familiarity with cross-functional internal and external technical advisors and stakeholders.
  • Knowledge of wind and solar project finance, including tax equity and debt structures.
  • Solid understanding of the complete cycle of utility-scale renewable energy project development and marketing, U.S. power markets, and economic drivers.
  • Experience in modeling renewable energy project economics is preferred but not mandatory.

  • Ability to succinctly frame issues, providing context, analysis, recommendations, and risk/benefit assessments to project teams and senior management.
  • Willingness to travel as needed (20-30% if based in certain locations, 25-50% if remote).
