About the Role

We are seeking a highly skilled Senior Counsel to join our Governance and Securities team. As a key member of our team, you will provide professional legal support services to senior attorneys, focusing on corporate governance and securities law matters.

Key Responsibilities
  • Advise on corporate governance and securities law matters, ensuring compliance with public company reporting and disclosure requirements.
  • Take lead in preparation and filing of Proxy Statements, including distribution and collection of relevant data and materials, coordination with printers, and preparation of drafts.
  • Provide support for the Board of Directors and executive leadership team on governance- and shareholder-related matters, including preparation and review of materials for meetings of the Nominating and Corporate Governance Committee and responses to shareholder proposals.
  • Assist with managing Board materials, as needed, and oversee insider trading and Section 16 filing processes.
  • Maintain the corporate website, including updating the IR website and coordinating all changes with the Communications team.
  • Benchmark securities and governance issues, providing proactive updates and emails/memos to team members.
  • Assist with preparation of agenda and other materials for the Nominating and Corporate Governance Committee.
Requirements
  • JD from an accredited law school and member in good standing of the State bar of New York.
  • Prior relevant experience in corporate and securities law, with a preference for law firm experience.
  • Strong corporate governance and securities experience.
  • Excellent written and verbal communication skills.
  • Strong work ethic with a high level of attention to detail.
  • Proficient in legal research, including Westlaw and internet research.
  • Proficient in MS Office products and database tools.
  • Ability to build relationships and excellent people skills and communication skills.
