The Chief Legal Officer is tasked with overseeing all legal matters pertaining to GMAC and its subsidiaries, providing guidance, accountability, and counsel on a broad spectrum of legal issues, including corporate compliance, data protection and privacy, intellectual property, contractual agreements, labor relations, and risk management. This role acts as the principal legal advisor to GMAC's Senior Leadership Team, including the CEO.

Key Responsibilities:

  • Direct and manage the legal department, its personnel, and external legal counsel as needed, to support GMAC's global legal operations, encompassing corporate compliance, data protection and privacy, intellectual property, contracts, tax-exemption, subsidiary governance, labor relations, legislative matters, litigation, and risk management.
  • Act as the Chief Privacy Officer, overseeing GMAC's data protection and privacy compliance initiatives.
  • Collaborate strategically with GMAC's business units to facilitate the execution of organizational strategies and priorities in accordance with U.S. and international laws.
  • Lead significant legal initiatives in strategic domains, including privacy, enterprise risk management, contract oversight, tax-exemption, and multinational corporate structures.
  • Provide expert counsel in areas related to test security and accommodations, working closely with operational teams to manage risks effectively and address test taker disputes, engaging external counsel for litigation as necessary.
  • Supervise a professional team responsible for contracting, data protection and privacy, compliance policy formulation, subsidiary governance, intellectual property, test security, and enterprise risk management.
  • Offer legal guidance and manage investigations, complaints, and litigation across various domains, including labor relations, customer service, contracts, data protection, test accommodations, test security, and intellectual property.
  • Gain a comprehensive understanding of GMAC's business operations and proactively provide legal advice to business clients on potential risks and strategies for mitigation while achieving business goals.
  • Enhance and/or develop, implement, and enforce organizational policies and procedures to improve overall operational efficiency and effectiveness.
  • Efficiently manage the budget of the Legal department.
  • Perform other duties and responsibilities as assigned.
Minimum Requirements:
  • Juris Doctor degree from an accredited law school; admission to the bar and eligibility to practice law in at least one U.S. state; must be in good standing.
  • A minimum of 10 years of legal experience, with at least 2 years in an in-house counsel role.
  • 10 years of experience providing legal counsel on ethics, compliance, and data protection/privacy matters within a corporate setting.
  • 5 years of progressive supervisory experience, fostering the growth and development of the Legal department members to cultivate a high-performing and innovative legal team.
  • Familiarity with legal areas such as 501(c)(3) organizations, buy-side and supply-side transactions, multinational corporate structures, global mergers and acquisitions, and accommodations compliance.
  • Pragmatic problem-solving skills for unique legal challenges without established precedents.
  • Training and experience in legal analysis to interpret existing and emerging legislation and regulations and translate them into effective compliance programs.
  • Exceptional negotiation, drafting, and advisory skills.
  • Adept at risk evaluation; comfortable with risk and making pragmatic decisions.
  • Outstanding oral and written communication abilities, capable of effectively conveying key legal issues to clients, support staff, and employees at all organizational levels.
  • Experience handling sensitive and highly confidential information with discretion.
  • Professional demeanor characterized by loyalty, poise, confidence, tact, and diplomacy.
  • Proven ability to work under pressure, meet stringent deadlines, and prioritize tasks effectively.
  • Demonstrated capacity to provide risk-based guidance for critical decision-making across GMAC's operations and assist others in resolving complex organizational issues.
  • Strong project management capabilities.
  • Comfortable working in a multicultural environment with a global workforce.
  • Willingness to travel internationally as required.
  • Ability to work both in-office and remotely in accordance with GMAC's hybrid work model.
