Key Responsibilities- Lead and develop the attorneys and paralegals comprising our Corporate Legal function
- Advise on and oversee the preparation of corporate filings, including 10-Ks, 10-Qs, and 8-Ks
- Support our Investor Relations, Communications, and External Reporting teams on quarterly earnings releases and Reg FD compliance
- Advise on and administer certain corporate and executive policies and programs
- Plan and oversee our annual stockholders' meeting
- Lead global corporate administration efforts, including compliance with relevant international, federal, state, and regulatory laws
- Support corporate governance matters, including preparation of materials for Board and Committee meetings
- Advise on and oversee all legal aspects of corporate transactional matters, including M&A, investments, credit facilities, equity and debt offerings, and other corporate finance transactions
- Counsel on a range of related corporate matters, including executive compensation, equity plans, stock administration, and related policies
- Collaborate with Regulatory and Product Legal team members to support global brokerage, crypto, credit, and cash management products and operations
- Collaborate cross-functionally with Finance, Investor Relations, Corporate Development, HR and Compensation, Communications, Treasury, Capital Markets, Tax, Stock Administration, ESG, senior leadership, and other members of the Robinhood team
- Partner with outside counsel to drive business goals and provide world-class counseling, while effectively managing time and cost
- J.D. degree from an ABA-accredited law school (or foreign equivalent)
- Membership (in good standing) in at least one U.S. state bar
- 12+ years of corporate law experience, with particular focus on securities law compliance, public company listing standards and practices, corporate governance, and corporate transactions
- Experience building and leading world-class legal teams, including supervising other lawyers and paralegals
- Substantial in-house experience at a publicly traded company, with relevant prior experience from a top law firm
- Comfortable working in a dynamic, rapidly changing environment
- Extraordinary interpersonal and communication skills; phenomenal ability to communicate information effectively (internally and externally) and to drive cross-functional alignment and action
