Key Responsibilities

  • Analyze offering documents, contracts, and closing materials related to financial transactions, ensuring all necessary internal approvals and signatures are obtained.
  • Engage in due diligence processes for financing activities.
  • Oversee the filing and renewal of all required registration statements for SEC-registered entities within the organization.
  • Review SEC reports as needed to provide informed in-house legal opinions for financing matters.
  • Evaluate and coordinate the approval of corporate guarantees requested by various departments, ensuring compliance with corporate credit support policies.
  • Offer legal guidance to ensure ongoing adherence to all current debt instruments, including utility mortgages, credit agreements, and indentures.
  • Assist in the annual review of relevant corporate policies.
  • Examine statutes, regulations, and NYSE rules for potential legal requirement changes.
  • Support internal stakeholders by delivering legal advice on debt compliance, disclosure standards for financial transactions, and updates on new legal developments affecting the organization.
  • Provide legal assistance to the Sustainability team by advising on compliance with environmental, social, and governance standards and reviewing related disclosure materials for accuracy and alignment with corporate practices.

Working Conditions

  • Hybrid work model – Employees will work from both remote and onsite locations following the onboarding period.
  • Local and occasional overnight travel may be required for conferences and training.

Qualifications

For Associate General Counsel:

  • Bachelor's Degree.
  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice law in North Carolina or eligible for admission under North Carolina Bar rules.
  • A minimum of seven (7) years of legal practice experience.

For Deputy General Counsel:

  • Bachelor's Degree.
  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice law in North Carolina or eligible for admission under North Carolina Bar rules.
  • A minimum of twelve (12) years of legal practice experience.
