Job Summary

We are seeking a highly skilled Corporate Transactional Paralegal to join our team at Stoel Rives LLP. As a key member of our professional client teams, you will assist attorneys in the delivery of legal services to our clients and work under the direction of our firm's lawyers.

Key Responsibilities
  • Assist in the preparation of complex corporate transactions, including mergers and acquisitions, project finance, and corporate refinancing/restructuring deals.
  • Prepare and review various corporate documents, such as operating agreements, bylaws, certificates of incorporation, and financing documents.
  • Conduct lien and litigation searches nationwide and analyze and summarize results.
  • Maintain and update corporate records and minute books.
  • Research and analyze legal sources, including statutes, case law, and regulatory sources.
  • Communicate regularly with attorneys and clients regarding project status and deadlines.
  • Manage inventory of closed transaction documentation and locate applicable precedent upon attorney request.
  • Develop and maintain positive relationships with clients, title insurance companies, closing agents, and other outside vendors.
Requirements
  • Bachelor's degree or additional four years of applicable experience.
  • Paralegal certificate and at least 10 years' experience, including in project finance.
  • Demonstrable knowledge of mergers and acquisitions and project finance transactions.

Stoel Rives LLP offers a competitive salary range of $83,000 - $167,000, depending on skills and experience. Our total rewards program includes an annual discretionary bonus and rich benefits offerings, such as paid family & medical leave, competitive PTO, and remote work options.
