Corporate Paralegal Role

We are seeking a highly skilled Corporate Paralegal to join our team in San Diego, CA. The successful candidate will support our attorneys in delivering legal services to clients in corporate matters, including Mergers and Acquisitions, Financing Transactions, and general corporate matters.

Key Responsibilities:

  • Assist attorneys with due diligence reviews, prepare and organize Disclosure Schedules, create and manage Task and Responsibility (T&R) checklists, and coordinate document production and management.
  • Manage federal and state blue-sky filings, assist with the preparation and filing of regulatory documents, and ensure compliance with federal and state securities laws and regulations.
  • Manage virtual data rooms, organize and maintain corporate minute books, including resolutions, board consents, minutes, stock ledgers, and capitalization tables.
  • Draft and review template legal documents for review by attorneys, contracts, agreements, and correspondence.
  • Provide support in client communications, including coordinating meetings, preparing agendas, and assisting with client inquiries and requests.
  • Work closely with attorneys and other team members to facilitate efficient workflow and deliver high-quality legal services to our clients.
  • Perform various administrative tasks, including time entry, billing support, file management, and other duties as assigned.

Qualifications:

  • Bachelor's degree or equivalent from an accredited institution.
  • 1-3 years of experience as a corporate paralegal, preferably in a law firm environment.
  • Strong understanding of corporate law principles and procedures, particularly in Mergers and Acquisitions, Financing transactions, and general corporate matters.
  • Proficiency in managing Disclosure Schedules and Task and Responsibility (T&R) checklists for M&A transactions.
  • Experience with federal and state blue-sky filings for Financing transactions.
  • Familiarity with virtual data room platforms and document management systems.
  • Excellent organizational and time management skills, with the ability to prioritize tasks and meet deadlines in a fast-paced environment.
  • Strong attention to detail and accuracy in document preparation and review.
  • Excellent written and verbal communication skills, with the ability to interact professionally with clients and team members.
  • Proficiency in Microsoft Office suite and Lexis.

Preferred Qualifications:

  • Paralegal certificate from an accredited program.
  • Experience with managing corporate minute books, including resolutions, board consents, and stock ledgers.
  • Familiarity with capitalization tables and corporate governance best practices.
  • Knowledge of relevant software and tools, such as Blue Sky Interactive, CapMx, and Diligent Entities.
  • Ability to work independently with minimal supervision and demonstrate initiative in problem-solving.
  • Commitment to maintaining confidentiality and upholding ethical standards in all aspects of work.
