Job Summary:
We are looking for happy people to join our tight-knit family.
- Corporate drafting, including resolutions, consents, minutes, certificates, charters, and bylaws;
- Drafting private placements
- drafting registration statements or Reg A+;
- drafting 10-Ks and 10-Qs;
- assisting with mergers and acquisitions transactions, recapitalizations and/or asset purchase agreements;
- drafting 144 opinions;
- SEC investigations and enforcement;
- Section 16 filings;
- managing equity incentive plans;
- researching FINRA-related issues; and
- public company corporate governance experience
Responsibilities will include:
- Draft resolutions, consents, governing documents, certificates, and minutes;
- Legal support provided to senior attorneys
- Draft and counsel regarding security filings and other related filings (proxy statements, registration statements)
- Draft and prepare materials for Board of Directors, committee and stockholder meetings
