Opportunity Summary:
We're looking for an experienced senior corporate paralegal to join our legal team. You'll have a diverse range of responsibilities, primarily focused on securities law compliance, corporate governance, subsidiary maintenance and legal operations, but you will also help us with general legal administrative duties, stock administration, mergers and acquisitions, corporate structuring and finance. This position will play a crucial role in supporting the General Counsel and Corporate Secretary by assisting with administrative functions related to corporate governance and regulatory compliance.
We are a small and nimble legal team supporting a growing company, so you'll cover a lot of ground.
Primary Responsibilities:
This position reports to our General Counsel and Secretary and will be responsible for various corporate and administrative matters.
Specifically, the position will include: preparation of and assistance with public filings, including Forms 8-K, proxy statements; Forms 3, 4 and 5; drafting board consents and other board materials and maintaining public company minute books and board records; oversight and maintenance of global subsidiaries, including maintaining database, organization chart, corporate records and filing calendar; managing corporate reorganization projects; facilitating changes in organizational documents and subsidiary D&O slates (including notary and apostille requirements); maintaining and coordinating incentive equity grants; coordinating information and responses from various departments within the company on various legal and insurance matters; responsibility for legal department administrative matters; and communicating with officers and directors both verbally and in writing on a variety of matters.
In addition, this role will:
* Lead our real-estate administration;
* Assist in managing the Intellectual Property portfolio;
* Own certain legal operations functions, including process improvement, automation and technology sourcing and implementation, legal team meetings and coordination, budget review;
* Support our M&A activity and other strategic transactions, including due diligence, virtual data site and post-closing administration and integration;
* Perform administrative functions including the following:
* Filing and maintaining the legal document system and legal email inbox;
* Track and ensure compliance with governance internal functions
* Update and maintain of materials for the quarterly board and committee meetings;
* Support quarterly and ad hoc external auditor and regulatory requests; and,
* Assist with financing related documents and perfection certificates.
And as with most roles at Upland, this role may work on other special projects as assigned.
Requirements:
* In-house or law-firm practical experience, with at least 5-10 years of corporate paralegal experience handling complex corporate transactions, corporate governance, and securities disclosure and reporting;
* Understanding and knowledge of basic real-estate, intellectual property, and legal operations fields;
* Ability to seamlessly interact with a diverse group of colleagues worldwide at all levels of the company; manage and drive issues and projects cross-functionally across departments; implementation of new legal processes, policies, procedures, and technology; support daily operations and administrative needs of the company including calendaring, presentation preparation, documentation management;
* Ability to manage multiple complex projects simultaneously;
* Exceptional judgment and impeccable integrity;
* Experience working with directors and officers of a public company;
* Maintaining strict privacy and confidentiality requirements both inside and outside the business;
* Ability to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently;
* Excellent communication and project management skills, with demonstrated ability to build and scale programs and lead cross-functional initiatives;
* A sense of humor;
* Detail oriented with excellent grammar, spelling, proofreading, oral, and interpersonal skills;
* Bachelor's degree and/or a paralegal certificate;
* International corporate experience preferred.
* Previous inhouse corporate paralegal experience preferred.
* Working familiarity with Delaware corporate law preferred.
* Previous project management experience preferred.
