Director of Contracts & Compliance
Location: Remote
Role Overview: The Director of Contracts & Compliance will be responsible for ensuring that Integer Technologies complies with all applicable laws, regulations, and internal policies, particularly those related to defense contracting and national security. This role involves overseeing the compliance program, managing relationships with regulatory bodies, and advising senior management on compliance risks and strategies. The ideal candidate will have extensive experience in the defense industry and a deep understanding of the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), the DoD CUI Program, International Traffic in Arms Regulations (ITAR), and Export Administration Regulations (EAR). Knowledge of or willingness to be trained on the National Industrial Security Program (NISP) in support of Facility Security Officer (FSO) or Assistant Facility Security Officer (AFSO) duties.
Key Responsibilities:
- Contracts Management: Lead the negotiation of contracts, subcontracts, non-disclosure agreements (NDAs), teaming agreements, and other legal documents to ensure compliance with all applicable regulations. Lead responsibility for resolution of problems regarding contract requirements with the Program Management, IT, Finance, and other departments.
- Compliance Management: Develop, implement, and oversee a comprehensive compliance program that ensures Integer Technologies' operations adhere to all applicable laws, regulations, and internal policies. Provide expert guidance on FAR, DFARS, CUI, ITAR, and EAR regulations, ensuring that all company operations and transactions comply with these standards.
- Risk Management: Identify, assess, and mitigate compliance risks across the organization, particularly in relation to adhering to the rules, regulations, and government-wide policies that apply to a contractor in the national security industry. Support risk assessments for interacting with universities in which there are often a high concentration of foreign nationals.
- Security Management: Perform the duties of a Facility Security Officer (FSO) or Assistant FSO in accordance with the NISP.
Other Responsibilities
- Develop contractual documents for accuracy, performance risk, and conformance with contract terms, conditions, and other provisions including applicable federal regulations and business team objectives prior to acceptance.
- Manage contract change process with Program Managers, IT, Finance, and other departments to mitigate performance risk.
- Guide the development of subcontract statements of work and flow-down of mandatory or otherwise necessary/prudent from a business and contract perspective.
- Support and provide assistance to internal or external auditors in compliance reviews.
- Assist in the development of a purchasing policy that will ensure compliance with established processes and FAR requirements.
Requirements:
- Strong knowledge of procurement law/regulations, legal concepts (specifically the FAR, DFARS, ITAR, and EAR).
- Excellent analytical, organizational, written, communication and presentation skills.
- Strong knowledge of policies/procedures related to contract administration, including contract changes.
- Strong leadership skills with demonstrated ability to effectively work across teams and functions.
- Minimum of 7 years of relevant experience within the defense industry.
- Bachelor's degree from accredited university or college or equivalent education.
- Certifications in Contract Management are strongly preferred but not required.
- Proven experience in managing and enforcing compliance programs that are both compliant and effective for business operations, with a "solution oriented" mindset.
- Experience in fast-paced, high-growth environments, particularly in research and development (R&D) settings and university settings.
- Ability to communicate complex regulatory requirements clearly and effectively to diverse audiences.
- Prior experience and training relating to FSO or AFSO duties is preferred but not required.
