As a Corporate Paralegal at BTJD, you will play a crucial role in supporting our legal team and ensuring the smooth operation of corporate legal matters, particularly emphasizing the Corporate Transparency Act:
Responsibilities:
- Track and manage new entity formations and filings, Company Applicant Information, and client notifications relating to the Corporate Transparency Act (“CTA”).
- Prepare and manage monthly CTA compliance reports and internal audits.
- Assist with review of corporate entity documents and structures.
- Assist with preparing and filing federal Beneficial Ownership Information reports.
- Maintain and organize CTA compliance materials and files.
- Assist with client CTA compliance management, including correspondence and follow up with clients.
- Research and participate in continued education regarding CTA compliance and related matters.
Support a combination of several attorneys, including partners and associates, and the corporate paralegal group with other corporate work, including:
- Assisting with the preparation of various agreements, certificates, and closing documents concerning various transactions.
- Coordinating and receiving signatures for documents and materials.
- Assisting with the preparation, filing, and tracking of UCC filings.
- Performing corporate entity searches.
- Assisting with and analyzing real property history and preparing instruments, including deeds, trust deeds, affidavits, and foreclosure-related documents.
- Assisting with and participating in peer training with the paralegal group and legal assistants.
- Processing incoming garnishments.
- Assisting with initial draft document review.
- Maintaining and organizing corporate documents, including a compilation of closing binders for transactions.
May be requested to perform other duties not mentioned above.
The required office hours are Monday through Friday, 8:30 a.m. to 5:30 p.m. (some overtime may be required).
Qualifications:
- Expert in the Corporate Transparency Act, including compliance, penalties, and filing process.
- Minimum two to three years of experience as a paralegal.
- Paralegal certification and/or bachelor’s degree in a relevant field, such as paralegal studies, legal studies, or business law, is a plus.
- Proficiency in Microsoft Office Suite, including Word, Excel, and Outlook.
- Working knowledge of legal terminology and legal writing.
- Proficiency with legal research tools such as Westlaw and Tracers.
