Position Overview:
The Senior Counsel will deliver expert legal support to senior attorneys, focusing on legal research, document drafting, and business communication. This role emphasizes securities, compliance, and governance matters, alongside ongoing public company reporting.

Key Responsibilities:

  • Provide guidance on corporate governance and securities law issues;
  • Ensure adherence to public company reporting and disclosure standards;
  • Lead the preparation and submission of Proxy Statements, coordinating data collection and liaising with relevant parties to comply with SEC regulations;
  • Support the Board of Directors and executive leadership in governance and shareholder matters, including the preparation of materials for committee meetings;
  • Assist in managing Board documentation as necessary;
  • Oversee insider trading and Section 16 filing processes;
  • Maintain and update the corporate website, ensuring accurate information is available;
  • Conduct benchmarking on securities and governance topics, providing updates and insights to the team;
  • Assist in preparing agendas and materials for the Nominating and Corporate Governance Committee.

Qualifications:

  • ABA-approved paralegal certificate is required;
  • Juris Doctor from an accredited law school and active membership in the New York State Bar;
  • Relevant experience in corporate and securities law, preferably in a law firm setting;
  • Strong background in corporate governance and securities matters;
  • Exceptional written and verbal communication skills;
  • Detail-oriented with a strong work ethic;
  • Proficient in legal research, including Westlaw and internet resources;
  • Skilled in MS Office and database management;
  • Adept at building relationships and possessing excellent interpersonal skills.
