The Corporate Paralegal plays a critical role in providing legal support and assistance to the legal department, executives, Corporate Secretary, and Board of Directors. This position involves a wide range of responsibilities, including legal research, document preparation, contract management, and corporate governance support. The Corporate Paralegal works closely with legal, executives, and other stakeholders to ensure compliance with legal requirements and to facilitate efficient business operations.
ESSENTIAL FUNCTIONS:
- Conduct legal research on various topics relevant to corporate law, including statutes, regulations, and case law.
- Draft and review legal documents, including contracts, agreements, corporate resolutions, and regulatory filings.
- Manage the lifecycle of contracts, including drafting, negotiation, execution, and maintenance of contract databases.
- Support the company’s risk management and compliance initiatives.
- Assist with corporate governance matters, such as maintaining corporate records, preparing board meeting materials, and ensuring compliance with corporate formalities.
- Support due diligence efforts in corporate transactions, including mergers, acquisitions, and corporate restructuring.
- Monitor regulatory developments and assist in compliance efforts to ensure adherence to applicable laws and regulations.
- Assist attorneys in corporate litigation matters, including document collection, review, and preparation of discovery materials.
- Collaborate with internal stakeholders, including executives, finance, profit centers, and other departments, to address legal issues and achieve business objectives.
- Stay abreast of changes in laws, regulations, and industry trends relevant to corporate law and providing recommendations for process improvements.
Requirements:
• Certification or associate's degree in paralegal studies (bachelor's degree is preferred)
• A minimum experience of two years in a paralegal role
• Investigative mind and strong research skills
• Working knowledge legal database software
• Experience in preparing legal reports
• Excellent communication and time management skills
