POSITION RESPONSIBILITIES:
Primary Responsibilities:
As a Contracts Manager, you will deal with a diverse set of issues involving day-to-day transactions, commercial contracts, insurance, bonding, and corporate compliance matters. This role will support the application engineering, sales, and project management teams to ensure adherence to company contracting standards, and support the finance team to ensure that proper payment terms and other valuable information is properly reflected in our contracts.
Primary Responsibilities:
- Serve as contract terms and conditions point person for ProMinent Fluid Controls INC, providing support for a variety of agreements including transactional purchase orders, project contract terms and conditions, NDAs, and master service agreements.
- Improve, develop, and manage contract templates, company playbooks for contract review, and standard operating procedures for contract lifecycle management.
- Train on and drive compliance with corporate governance functions that arise in transactional work, including contract lifecycle management.
- Provide guidance to increase the efficiency and scalability of legal support. Identify compliance issues, provide guidance, consultation, and conduct periodic employee training & presentations on legal and compliance issues related to contract lifecycle management.
- Support extraordinary transactions from time to time. This may include due diligence processes with respect to mergers and acquisitions, negotiations to resolve contractual conflicts and/or review of broader business risk factors.

KNOWLEDGE, SKILLS AND ABILITIES:

- Bachelor’s degree together or a Master’s degree of Legal Studies or Paralegal Certificate (preferred), CPCM or similar certification a plus. Relevant experience may substitute for educational requirements for exceptional candidates.
- 5+ years of experience as a contracts administrator, contracts manager, contacts paralegal or similar role preferably in the chemical, energy, manufacturing, or a similar industry.
- Experience and confidence drafting and negotiating a variety of agreements.
- Confident ability to convey legal advice clearly, patiently, and effectively to non-legal colleagues and non-native English speakers.
- Strong presentation skills and comfort level leading discussions relating to legal risk at the executive level.
- Strong and astute negotiator with good judgment and strong problem-solving skills. Able to simultaneously manage workstreams, multiple client demands, and shifting priorities.
- Ability to build productive, trusting relationships with personnel at supported businesses by obtaining a strong knowledge of the products and objectives of those companies.
- Excellent interpersonal skills and ability to work effectively with employees at all levels.
- High ethical standards and professional integrity.
- Occasional travel as warranted.
Preferred:
- Fluent in both English and Spanish, with excellent verbal and written communication skills in both languages.
