About the Firm:

Our client, a prestigious law firm with over 400 attorneys, is seeking a Legal Assistant to join their dynamic team in Manhattan within the Corporate Practice. This firm is renowned for its collaborative environment, high-quality legal work, and dedication to professional growth. The Corporate Practice handles a wide array of matters, including mergers & acquisitions, private equity, securities, and general corporate governance. The firm is looking for a skilled and motivated legal assistant who can provide critical support to the corporate attorneys and contribute to the firm’s continued success.

Role Overview:

The Legal Assistant will provide high-level administrative and legal support to the attorneys within the Corporate Practice. This individual will assist with a wide range of tasks, including document management, client communications, research, and preparation for transactions. The ideal candidate will have at least 5 years of law firm experience with a strong background in corporate law, excellent organizational skills, and a proactive approach to problem-solving.

Key Responsibilities:

  • Document Preparation & Management: Draft, review, and edit legal documents, including contracts, agreements, corporate filings, and transaction documents. Ensure accuracy and compliance with firm protocols and regulatory requirements.
  • Transaction Support: Assist with corporate transactions such as mergers & acquisitions, private equity deals, and securities offerings. Prepare and organize due diligence materials, manage document execution, and assist with closing preparations.
  • Client Interaction: Communicate with clients and third parties (e.g., opposing counsel, government agencies, financial institutions) to gather and distribute information, schedule meetings, and respond to inquiries.
  • Research & Compliance: Conduct legal research on corporate governance issues, securities regulations, and other relevant areas. Assist in preparing materials for corporate filings and other compliance-related tasks.
  • Case Management: Organize and maintain case files, both electronic and paper, ensuring all documents are filed and indexed properly. Assist attorneys in tracking key deadlines and deliverables.
  • Administrative Support: Provide administrative assistance, including scheduling meetings, managing calendars, and handling billing and timekeeping tasks. Coordinate logistics for meetings, conference calls, and client events.
  • Efficient Workflow Management: Prioritize and manage multiple assignments with attention to detail, ensuring deadlines are met and tasks are completed efficiently and accurately.

Qualifications:

  • Experience: Minimum of 5 years of legal assistant experience at a law firm, with a strong focus on corporate practice (e.g., mergers & acquisitions, private equity, securities, corporate governance).
  • Knowledge: Strong understanding of corporate legal documents, transactions, and regulatory requirements. Familiarity with legal terminology, drafting standards, and compliance procedures.
  • Skills: Excellent written and verbal communication skills. Strong organizational skills with the ability to manage multiple projects and deadlines in a fast-paced environment. High attention to detail and accuracy.
  • Technology: Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and document management systems. Familiarity with timekeeping and billing software (e.g., Elite, Aderant) is a plus.
  • Education: Bachelor’s degree or equivalent experience required. Paralegal certification is a plus, but not required.
