A Vault 50 law firm is seeking a Finance Attorney to join its New York City office to help support the leveraged finance practice group.


The practice has broad expertise in domestic and cross-border financing transactions and debt restructuring. The firm has received accolades from Chambers Global, The Legal 500, Benchmark Litigation, and U.S. News – Best Lawyers ‘Best Law Firms’.


Experience:

  • The firm is seeking a mid-level attorney with 3-6 years of experience with secured and unsecured lending transactions, including fund financings, acquisition financings, leveraged finance deals, bridge loans, and other complex domestic and cross-border syndicated and bi-lateral financings.
  • Associates with a strong background in fund finance and leverage finance/private credit are highly preferred.
  • Substantive experience representing private equity sponsors, corporate borrowers and/or lenders in a full range of debt finance transactions, including acquisition financings, ABLs, term loan facilities, senior and mezz, dividend and other recapitalizations and refinancing.
  • Prior experience as a key member of deal teams is preferred, including having taken responsibility for running signings and closings, drafting, and negotiating debt commitment papers and credit documentation, and other related matters.
  • Exposure to middle-market private equity transactions is helpful.
  • Qualified candidates will have strong law school academic credentials, along with relevant and sophisticated law firm and transaction experience.
  • Associates must have a high degree of attention to detail, strong problem-solving skills, be flexible and willing to undertake a wide variety of tasks and be a pro-active team player.


Responsibilities:

  • The team represents a broad spectrum of asset managers, private equity sponsors and lenders, including banks and alternative capital providers, in a wide range of domestic and cross-border financing transactions and debt restructurings.
  • To cover all aspects of leveraged finance, handling all bank debt matters and certain private placements while working collaboratively with the capital markets team on high yield debt, pref investments, and similar securities.
  • Associates within the team are encouraged to develop personal relationships with clients and to take responsibility for transactions, with full support from the partners and other members of the team.
  • Assist on all aspects of transactions, including loan terms and security documents.
  • Undertake transactions directly, dealing with all aspects of the loan and security terms.
  • Engage in client marketing and business development activities including attending internal and external events.
  • Provide clients with advice in a succinct, practical, and persuasive manner.
  • Apply a commercial approach to research and evaluate relevance and accuracy in delivery of advice.
  • Demonstrate good judgement and a good legal and commercial understanding of client’s particular needs.
