Corporate Senior Counsel

Position: Corporate Senior Counsel
Location: Washington DC
Practice Group: Business & Transactions

Overview:

Our firm is dedicated to serving government contractors and commercial businesses, is seeking a seasoned Corporate Senior Counsel with over 10 years of experience in corporate law. This role is ideal for a driven attorney with a strong background in Mergers & Acquisitions (M&A) and a comprehensive understanding of corporate transactions.

Key Responsibilities:

  • Mergers & Acquisitions:

    • Lead M&A transactions, including managing teams of in-house and outside counsel.
    • Draft and negotiate purchase agreements, financing agreements, and other transaction documents.
    • Coordinate due diligence processes and manage transaction closings.

  • Corporate Structuring:

    • Handle entity formation and structuring.
    • Draft and negotiate limited liability company agreements, shareholders agreements, and partnership agreements.

  • Employee Incentives:

    • Develop and implement employee incentive plans, including synthetic equity plans.

  • Commercial Transactions:

    • Manage commercial lending transactions and other financing arrangements.

Qualifications:

  • Experience:

    • A minimum of 10 years of corporate law experience.
    • Proven expertise in leading M&A transactions.
    • Solid experience in drafting and negotiating various corporate agreements and managing due diligence.

  • Specific Skills:

    • In-depth knowledge of entity formation and structuring.
    • Proficiency in creating and managing limited liability company agreements, shareholders agreements, and partnership agreements.
    • Experience with employee incentive plans, including synthetic equity.

  • Additional Experience (Preferred):

    • M&A and corporate experience with government contractors.
    • Licensing experience is a plus.

Requirements:

  • Licensed in District of Columbia (Maryland and VIrginia a plus)
  • Active bar membership in good standing.
